GENERAL TERMS AND CONDITIONS OF SALE OF MERCHANDISE

These general terms and conditions of sale (“Sale Terms”) apply to any order you place through https://7seaesports.com/. Please read this together with our Privacy Policy (click here) and our General Terms of Use (click here). All of these documents form the complete set of arrangements.

 

These Sale Terms apply regardless of how you access the platforms. You must read these Sale Terms carefully. By placing an order through the platform, you confirm that you have read, understand, and agree to these Sale Terms in their entirety and you agree to be bound by them. If you do not agree to these Sale Terms in their entirety, you must not order any Merchandise or service through the platform. 

 

  • Seller or Merchant

1.1 The seller on record for contracts for the purchase and sale of Merchandise from the platform is the named merchant. 

1.2 If there is no named Merchant, then the default Merchant is 7seaesports.  

1.3 For all contracts irrespective of Merchant, 7seaesports shall take your payment and approved carriers shall deliver your orders.

 

  •  Account Opening and Orders

2.1 To place an order, you can open an account with us (“Customer Account”) which shall require you to provide some compulsory personal information. Alternatively, you can choose to place your order via the guest checkout.

2.2 Please see our Privacy Policy for more information.

2.3 You confirm that all information and details provided by you to us (including on registration) are true, accurate and up to date in all respects and at all times. You can update or correct your details at any time by going to the Customer Account.

2.4 When you create the Customer Account, we may provide you with and/or ask you to use passwords or other means to allow you to access certain areas of the Platform and/or to maintain the Customer Account security. It is your responsibility to maintain the confidentiality of your password and account information. We shall not be liable to any person for any loss or damage which may arise as a result of any failure by you to protect your password or account. Should you become aware of or suspect any unauthorised use of your password or account, please contact us. If we become suspicious of any fraudulent activity coming from the Customer Account, we can reserve the right to refuse you access to the Customer Account and can delete the account.

2.5 When you order through the Platform via our guest checkout you shall still need to provide us with certain compulsory personal information in order for us to process your order. However, you can choose to register an account with us after submitting your order. 

 

  • Acceptance Of Your Order

3.1 Please note that completion of the online checkout process does not constitute our acceptance of your offer to purchase Merchandise or services from us. We shall notify you by email as soon as possible to acknowledge that we have received and are processing your order. 

3.2 Our acceptance of your order shall take place only when we despatch the Merchandise(s) or on commencement of the services that you ordered from us. This shall be no later than 1 week after we have received payment from you. Prior to the despatch of the Merchandise(s), we have the right to decline an order for any reason, including legal and regulatory reasons.

3.3 If we cannot supply you with the merchandise or service you ordered, we shall not process your order and inform you of this in writing (via email) and, if you have already paid for the merchandise or service, we shall refund you in full as soon as reasonably possible, but in any event no later than 14 days after receipt of your payment.

3.4 If the fulfilment of an order (or any aspect of it) would be illegal or unlawful, including by reason of breach of export controls or sanctions rules, We and/or the Merchant have the right to stop or cease to fulfil the order at any time, including after despatch of merchandise and/or notification to you that the order has been received and is being processed. You acknowledge that we and/or the Merchant shall not incur any liability in such circumstances.

 

  • Payment

4.1 Accepted Payment Methods

You may pay by debit card, credit card, bank transfer or another alternative payment method specified as part of the checkout process. We may change the payment methods at any time but this shall not affect any existing order. The availability of a certain payment method may depend on your geographical location.

 

4.2 Payment

If you place an order on our platform, then you agree that: 

(a) We shall charge you through the payment method you have selected for your order and such other amounts that may accrue in connection with the order.

(b) You shall provide valid and current information for yourself and, if applicable, another person, but only if you have first obtained their express consent to do so. 

(c) We may use tools, software or services of payment service providers and/or payment processors to process transactions. 

(d) If your payment is not received by us for any reason (whether from your card issuer or otherwise), you agree to promptly pay all amounts due upon request and using the method that we request. 

 

4.3 Currency

The price of the merchandise is based on your choice of currency. If you choose a currency different from your geographical location, then we will utilise the applicable foreign exchange rate between US Dollar and the currency that you selected as determined by us solely.  We reserve the right to update such exchange rates regularly at our discretion, and you acknowledge that such updates may affect Merchandise pricing on the Platform. You shall be charged according to the applicable exchange rate at the time you place your order.

4.4 Taxes

(a) For certain shipping destination countries and/or merchandise, you may be offered the option to pre-pay applicable taxes, which shall then be calculated and included in the final price when you place an order through the Platform. You acknowledge that such taxes are set by the shipping destination country and therefore may vary from country to country.

 

(b) For clarity, the option to pre-pay taxes may not be available for your shipping destination country and/or your Merchandise, in which case: (i) You acknowledge that the amount of taxes displayed under the pre-pay option on the Platform is an estimate only, and the actual taxes payable by you may be more or less than such estimate; and (ii) You shall be fully responsible for paying all applicable taxes directly to the relevant authority (and for reclaiming them in the event of a cancellation of your order or the return of Merchandise, to the extent permitted in these Terms) as determined by the authorities of the shipping destination country, and we shall have no responsibility or liability in connection with the foregoing.

 

(c) We may contract with a local licensed customs broker in your country, in which case, by placing an order through the platform, you authorise the applicable customs broker to act as your agent to: 

(i) Conduct transactions with the local customs authority;

(ii) Execute related documents on your behalf in connection with the import of merchandise in your order;

(iii) Facilitate your payment of applicable taxes; and 

(iv) If applicable, return such Merchandise to us (subject to these Sale Terms) and (if applicable) handle the associated reimbursement claim for taxes paid. 

You acknowledge that, in the case of a return of Merchandise under the Sale Terms below, if we are able to obtain on your behalf reimbursement of taxes paid on orders, any such reimbursement shall be paid by the applicable tax authority to the customs broker, and then we shall reimburse such amounts directly to you if and to the extent, only after, we receive such amounts from the customs broker.

 

  • Delivery 

5.1 Delivery charges and timescales vary depending on the type of Merchandise ordered, the service you select and the delivery address. 

5.2 If no fixed date or timeline has been agreed upon, our deliveries are performed within a maximum period of 30 days.

5.3 Please note that certain Merchandise and services may be subject to alternative delivery charges, restrictions and/or timescales. If delivery cannot be made to a customer due to the customer not being present at the address at the time allotted by the carrier or if a customer refuses to accept the Merchandise, we reserve the right to deduct the cost of returning the Merchandise to our returns centre from the customer's refund for the order.

5.4 All risks in the Merchandise you order (including the risk of loss and/or damage to the Merchandise) shall pass to you when they are delivered to the delivery address specified in your order.

 

  • Delays

Where the supply of your Merchandise(s) or service(s) is delayed or prevented for reasons beyond our control (for example, material shortages, import delays or higher-than-anticipated demand), we shall make every effort to keep you informed but shall be under no liability to you for such delay or failure. For the avoidance of doubt, this paragraph does not exclude or affect in any way any statutory right that is afforded to you to cancel an order when Merchandise is delayed or not provided.

 

  • Refund And Exchange Policy

7.1 Our refund and exchange policy does not affect your legal rights under the law applicable to us.

7.2 Our exchange policy is offered on clothing when goods are returned in a resaleable condition with a parcel document within 35 days of placing your order. 

7.3 For a refund under our goodwill policy, items must be unused, returned in the original packaging and in a resaleable condition.

7.4 To return your items under our refund and exchange policy, please use our returns portal to print a returns label and returns note. You need to return all or part of your order at your own cost through your preferred carrier. We will not refund the cost of the return.

7.5 If you choose to return any Merchandise to us, we shall not be responsible for any loss or damage to them in transit and, for this reason, we recommend that you use a recorded delivery service. If returned merchandise is lost or damaged in transit, we reserve the right to charge you (or not to refund any amounts attributable to) such loss or damage.

7.6 Please note that you may have cancellation rights governed by local law. Nothing in these Sale Terms shall affect these statutory rights.

 

  • Damaged Or Incorrectly Supplied Merchandise

8.1 You should check all Merchandise you receive against your order. 

8.2 If the Merchandise you receive is damaged or incorrectly supplied on delivery then you must note the details of any damage or error in supply on the delivery documentation or if you are unable to view the items on receipt, you must inform us within seven (7) days of receipt. You must return the Merchandise to us as soon as possible after informing us that the Merchandise is damaged or has been incorrectly supplied.

8.3 In the case of damaged or incorrectly supplied goods, we shall offer you a refund. Any refunds shall be given by us and shall be made to the debit/credit card account provided when you placed your order and shall be subject to our right to withhold amounts for Merchandise which are damaged on return or for which we arrange collection.

  

  • Merchandise And Service Descriptions

9.1 We have taken reasonable precautions to try to ensure that prices quoted on the Platform are correct and that all Merchandise have been fairly described. 

9.2 However, when ordering Merchandise or services through the Platform, please note that:

(a) Orders shall only be accepted if there are no material errors in the description of the goods or services or their prices as advertised on this Platform;

(b) All prices are displayed in your chosen currency and local tax where applicable unless expressly indicated otherwise;

(c) Packaging may vary from that shown on the Platform;

(d) the weights, dimensions and capacities shown on the Platform are approximate only;

(e) Whilst we try to display the colours of our Merchandise accurately on the Platform, the actual colours you see shall depend on your monitor and we cannot guarantee that your monitor's display of any colour shall accurately reflect the colour of the Merchandise on delivery. 

(f) all items are subject to availability. 

9.3 We shall inform you as soon as possible if the Merchandise(s) or service(s) you have ordered are not available and we may offer alternative Merchandise(s) or service(s) of equal or higher quality and value.

 

  • Liability

10.1 Nothing in these Sale Terms limits our liability for personal injury or death caused by our gross negligence, fraud or any matter that cannot be limited or excluded by law. 

10.2 Nothing in these General Sale Terms shall affect your statutory rights and, in particular, we shall perform our obligations under these Sale Terms with reasonable care.

10.3 Any Merchandise we supply to you shall be of satisfactory quality. If we deliver Merchandise to you that is not of satisfactory quality, you can contact us for an exchange or refund.

10.4 We are only responsible for losses that are a natural, direct and foreseeable consequence of our breach of these Sale Terms. We shall not be liable to you if we are prevented or delayed from complying with our obligations under these Sale Terms by anything you (or anyone acting on your behalf) does or fails to do or due to events which are beyond our reasonable control.

10.5 You must follow any advice we give you to keep the Merchandise we supply to you safe (including any instructions or Merchandise manuals provided with the Merchandise). We cannot accept liability for damage to Merchandise we have supplied which is caused by your failure to follow this advice.

10.6 In any event we shall not be liable for any losses related to any business of yours including, lost profits, lost revenues, or business interruption and all forms of consequential and indirect losses.

 

  • General 

11.1 Exclusions Of Liability

(a) Except as expressly provided in these Sale Terms, we exclude all representations, warranties, conditions and terms (whether express or implied by statute, common law or otherwise) to the fullest extent permitted by law. 

(b) We accept no liability for any losses or damages which are not foreseeable arising out of or in connection with these Sale Terms or your use of the Platform.

(c) These exclusions shall be governed by and construed in accordance with the Laws of Singapore, subject to other mandatory laws which cannot be excluded in the country where you are resident. If any provision of these disclaimers and exclusions shall be unlawful, void or for any reason unenforceable then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

(d) Nothing in these Sale Terms shall exclude or limit our liability for personal injury or death caused by our negligence. In addition, these Sale Terms shall not limit or exclude any other liability that we are not permitted to limit or exclude under applicable law.

11.2 Assignment And Third-Party Rights

(a) You may not assign or sub-contract any of your rights or obligations under these Sale Terms to any third party unless we agree in writing.

(b) We may assign, transfer or sub-contract any of our rights or obligations under these Sale Terms to any third party at our discretion. However, where we have engaged a third party to perform part of the contract with you, we remain liable towards you for the full performance of our agreement and also for the performance by the third party.

(c) Only you and us shall be entitled to enforce these Sale Terms. No third party shall be entitled to enforce any of these Sale Terms, whether by virtue of the Contracts (Rights of Third Parties) Act Cap 53B or the applicable local legislation.

11.3 Waiver

Any waiver must be agreed to by us in writing.

11.4 Severability

If any of these Sale Terms are found to be illegal, invalid or unenforceable by any court of competent jurisdiction, then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions and the rest of these Sale Terms shall remain in full force and effect.

11.5 Entire Agreement

These Sale Terms and any document expressly referred to in them (including our Privacy Policy and General Terms of Use) set out the entire agreement between you, we and us and supersede any and all prior terms, conditions, warranties and/or representations to the fullest extent permitted by law.

11.6 Governing Law and Jurisdiction

Any matters that arise out of your use of this Platform (including any contract entered between you and us through the Platform) shall be governed by Singapore law and both parties submit to the non-exclusive jurisdiction of the Singaporean courts.

11.7 Changes to these Sale Terms

We reserve the right to change and update these Sale Terms from time to time and recommend that you revisit this page regularly to keep informed of the current Sale Terms that apply to your use of the Platform. In the event of a change or an update to these Sale Terms, we shall highlight it in an appropriate way on the Platform. By continuing to access, browse and use this Platform, you shall be deemed to have agreed to any changes or updates to our Sale Terms.
